Terms of Supply

This page (together with the documents referred to on it) lets you know the terms and conditions on which we supply any of the training services listed on our website 77academy.com to you. Please read these terms and conditions carefully and make sure that you understand them, before ordering any training services from our site. You should understand that by ordering any of our training services, you agree to be bound by these terms and conditions. You should print a copy of these terms and conditions for future reference.

Please click on the button marked “I Accept” at the end of these terms and conditions if you accept them. Please understand that if you refuse to accept these terms and conditions, you will not be able to order any Service from our site.

  1. Definitions
    77Academy the digital training division of 77Agency Limited
    Booking Confirmation The confirmation of booking as defined in clause 4.1 below
    Fee(s) the fees payable by you for the relevant Training as set out in clause 5 below
    Site 77academy.com
    Terms and Conditions these terms of supply together with our terms of use and all documents referred to therein as varied by 77Academy or 77Agency by posting the amended terms and conditions on the Site from time to time
    Trainer the person providing the Training on behalf of 77Academy
    Training the training programme that a User may access via the Site or the training that 77Academny agrees to provide to the User, as set out in the Booking Confirmation
    Training Materials the training materials and content provided by or on behalf of 77Academy as part of the Training including, without limitation, printed materials, computer disks, CD-ROMs and other electronic documents and files
    User You or the person or persons who are nominated in the order under clause 4.1 and who will receive the Training as referred to in the Booking Confirmation
    Venue the location where the Training is to be provided whether online or offline at 77Agency’s main trading address or at a User’s premises or at a third party premises
    Venue Terms the terms and conditions of use at the Venue
  2. Information about us
    1. 77academy.com is a site operated by 77Agency Limited (“we”, “us” or “our”). We are a company registered in England and Wales under company number 4972155 and have our registered office at 59 Lafone Street, London SE1 2LX. Our main trading address is 40-42 Parker Street, London WC2B 5PQ. Our VAT number is GB 839 6749 64.
    2. We have designed our training programmes with the objective of providing with knowledge and hands on experience of the new media marketing industry. Although the scope of the programmes is indicated in publicity and course material we reserve the right to alter the content and mix of the theory, practical work and outplacement of the programmes at any time.
  3. Your Status
    1. By placing an order through our Site, you warrant that:

      (a) you are legally capable of entering into binding contracts; and

      (b) you are at least 18 years old.

  4. Bookings
    1. Your order constitutes an offer to us to purchase training as set out in that order. All orders are subject to acceptance by us, and we will confirm such acceptance to you by sending you a booking confirmation e-mail that confirms that the User has a place on the training programme. The contract between us will only be formed when we send you the booking confirmation, which is subject to the Terms and Conditions.
    2. The contract will relate only to those training programmes we have confirmed in the Booking Confirmation. We will not be obliged to supply any other training which may have been part of your order until the booking of such training has been confirmed in a separate Booking Confirmation.
    3. We will endeavour to email a VAT invoice to you within 2 days of the date of the Booking Confirmation.
  5. Fees and Payments
    1. The Fees for the Training will be as quoted on our site from time to time, except in cases of obvious error.
    2. You agree to pay 77Academy the Fees for all Training you purchase from 77Academy, together with all applicable taxes including, without limitation, value added tax.
    3. Fees are usually payable immediately online at the time you place your order. However, in the case of Fees to be invoiced by 77Academy, such Fees shall be paid by the User within 30 days of the date of the invoice, or in advance of the Training, whichever is sooner. Interest will be charged on all overdue Fees at the rate of 4% above the Bank of England base rate from time to time.
    4. Fees are liable to change at any time, but changes will not affect orders in respect of which we have already sent you a Booking Confirmation.
  6. Provision of Training
    1. 77Academy agrees to provide the User with the Training at the Venue, subject to the 77Academy’s prior approval of the Venue and subject to these Terms and Conditions.
    2. Where you wish to arrange bespoke Training, you and 77Academy shall together agree on the Venue. If the Venue is not at your premises then 77Academy can suggest alternative locations, however, you shall be responsible and liable, at your own cost, for the provision of the Venue and any necessary facilities requested by 77Academy or the Trainer(s) to enable delivery of the Training (for example, without limitation, seating, projector, access to computers and/or the internet). You shall ensure that the Venue is safe and adequate for the provision of Training to participants and shall provide 77Academy with a copy of any applicable Venue Terms at least two weeks prior to the scheduled date of the Training. You and all parties employed or otherwise engaged by you shall comply with all Venue Terms relating to the Training and the User’s attendance at the Training.
    3. You acknowledge that the Trainers are not necessarily employees of 77Academy and that 77Academy may, at its sole discretion, procure the services of third parties to provide any part of or all of the Training.
    4. The views and opinions of the Trainers are not necessarily the views and opinions of 77Academy.
    5. 77Academy will use reasonable endeavours to ensure that any individually named Trainer(s) shall provide the relevant Training, but where this is not possible, 77Academy reserves the right to procure the services of suitable alternative Trainer(s), provided that 77Academy shall give you notice of any such change(s) as soon as is reasonably possible. Any such change(s) shall not constitute a breach of contract and shall not give you the right to terminate.
    6. 77Academy will use reasonable endeavours to ensure that the Training shall take place on the relevant date(s) and time(s) and at the Venue as agreed, but where this is not possible, 77Academy reserves the right to alter the date(s), and/or time(s), provided that 77Academy shall give you notice of any such change(s) as soon as is reasonably possible. Any such change(s) shall not constitute a breach of contract and shall not give you the right to terminate.
    7. You or the User shall not alter or remove any copyright notices or other notices indicating rights in the Training Materials.
    8. 77Academy hereby grants access to the Training Materials only to Users who attend the relevant Training providing always that they are used only for the Member’s own purposes.
    9. For the avoidance of doubt, 77Academy shall not permit the User to do any of the following without the prior written consent of 77Academy:

      (a) Store, reproduce, transmit, display (including without limitation display on any intranet or extranet site), copy, sell, publish, distribute, provide access to or otherwise use the Training Materials for any purposes other than as set out in clause 6.8;

      (b) sub-license, rent, lease, transfer or assign any intellectual property rights in the Training Materials, to any other person, or attempt to do any of the foregoing;

      (c) disclose the Training Materials whether in part or in their entirety to any third party, including any associated or affiliated company;

      (d) in any way commercially exploit any of the Training Materials content; or

      (e) use the Training Materials for any unlawful purpose.

    10. The User agrees to keep all matters arising or coming to his attention during the Training that relate to the business of 77Agency, 77Academy or the outplacement company or organisation secret and confidential and not at any time for any reason whatsoever to disclose them or permit them to be disclosed to any third party except with the express permission of 77Academy.
    11. You grant 77Academy a non-exclusive perpetual irrevocable worldwide licence to use your name and trade-marks only in connection with the promotion and delivery of the Training and for the creation of the Training Materials for the User.
  7. Webinars
    1. Where the Training includes the use of webinars:
      1. 77Academy will send you a link to access the live webinar a few days before the webinar takes place or is broadcast. It is your responsibility to forward the link to the User; and
      2. 77Academy uses state of the art technology to deliver streamed video access to the webinars which is compatible with most internet browsers. 77Academy will not be liable to you if you cannot view the webinars due to firewalls, other hardware or software issues within your system or failure of any technology used by you. We may provide a free demonstration webinar; it is your responsibility to ensure that our technology works on your system.
  8. Cancellation
    1. If the User is unable to attend the Training, you may nominate a substitute user to attend the Training provided that you notify 77Academy of such changes .
    2. Subject to availability, there is no charge for changing the date of your training course to an alternative date provided you notify 77Academy in writing or via email up to 14 working days before the start of the Training. However a transfer fee of 20% of the Fee (plus VAT) will be payable if the notice is received within 14 working days of the start of the Training.
    3. If you wish to cancel and you notify 77Academy in writing or via email up to 14 working days before the start date of the Training, you will receive a full refund less an administration fee of 20% (plus VAT). If you withdraw for whatever reason within the 14 day period, the full fee will remain payable if you are unable to nominate a substitute user.
    4. If the User fails to attend the Training then the Fee will remain payable in full.
    5. Where circumstances dictate, 77Academy reserves the right to alter training programmes, Trainers or Venues without prior notice. In the event of Training being cancelled, a refund of the Fee will be made but no compensation will be paid for any additional costs incurred
  9. Consumer Protection (Distance Selling) Regulations 2000
    1. If you are purchasing training as a consumer rather than a business, you are entitled to cancel your order within 7 days of placing it. If you have purchased Training that begins within 7 days of placing your order, your right to cancel ceases when the Training starts.
  10. Our liability
    1. Subject to clause 9.2, we will not be liable to you for losses that result from our failure to comply with these terms and for:

      (a) direct, consequential, indirect or special loss or damage; or

      (b) any loss of goodwill or reputation; or

      (c) any economic losses (including loss of revenues, profits, contracts, business, anticipated savings or waste of management time) whether arising from breach of contract, negligence or other cause of action arising out of or in connection with the Site or the Training.

    2. Nothing in these terms of supply excludes or limits our liability for fraud or for negligence causing death or personal injury where applicable law prohibits such exclusion of limitation
  11. Force Majeure
    1. 77Academy shall not be in breach of these terms of supply nor liable for delay in performing, or failure to perform, any of its obligations under these terms of supply if such delay or failure results from events, circumstances or causes beyond our reasonable control, including but not limited to acts of god, war, civil commotion, terrorism, industrial dispute, strikes and lockouts. In such circumstances 77Academy shall be entitled to a reasonable extension of the time for performing such obligations.
  12. Law and jurisdiction
    1. Contracts for the purchase of Training through our site and any dispute or claim arising out of or in connection with them or their subject matter or formation(including non-contractual disputes or claims) will be governed by English law. Any dispute or claim arising out of or in connection with such Contracts or their formation (including non-contractual disputes or claims) will be subject to the exclusive jurisdiction of the courts of England, although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country
  13. Third party rights
    1. A person who is not party to these terms and conditions shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
